Service Description: iDream Networx Ltd. provides the adex™ SMS Marketing Platform, enabling clients to send bulk SMS messages to their customers. The company offers the platform and is not responsible for the content of the messages sent by clients.

2. Acceptance of Terms

• By registering and using the adex™ platform, clients agree to comply with these Terms and Conditions.

3. Client Responsibilities

Compliance with Laws: Clients must ensure that their SMS campaigns comply with all applicable laws and regulations, including GDPR and the Privacy and Electronic Communications Directive (ePrivacy Directive).

Content Responsibility: Clients are solely responsible for the content of the messages they send, ensuring they are not unlawful, defamatory, or infringing on any rights.

Obtaining Consent: Clients must obtain explicit consent from their recipients before sending SMS messages, as required under GDPR.

Opt-Out Mechanism: Clients must provide a clear and accessible method for recipients to opt out of receiving messages, such as replying with “STOP”.

4. iDream Networx Ltd. Responsibilities

Data Processing: Act as a data processor, handling personal data on behalf of clients in accordance with GDPR requirements.

Platform Availability: Strive to maintain the availability and security of the SMS platform but disclaim liability for interruptions beyond reasonable control.

5. Data Protection and Privacy

Data Usage: Outline how personal data is collected, used, and stored, ensuring transparency and compliance with GDPR.

Data Security: Implement appropriate technical and organizational measures to protect personal data against unauthorized access or disclosure.

Data Retention: Specify the duration for which personal data will be retained and the criteria used to determine this period.

6. Limitation of Liability

Indirect Damages: Exclude liability for indirect, incidental, or consequential damages arising from the use of the platform.

Client Breach: State that clients are liable for any damages resulting from their breach of the T&C or violation of laws.

7. Indemnification

• Clients agree to indemnify and hold iDream Networx Ltd. harmless from any claims, damages, or expenses arising from their use of the platform or breach of the T&C.

8. Termination

Termination Rights: iDream Networx Ltd. reserves the right to suspend or terminate a client’s access to the platform for violations of the T&C or applicable laws.

Effect of Termination: Upon termination, clients must cease all use of the platform and delete any associated data.
